1. Acceptance of These Terms
These Terms & Conditions (the “Terms”) govern your access to and use of the BdB Hold B.V. website and any related pages, forms, and materials we provide (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
You must be at least 16 years old to use the Site. If you are under 18, you may use the Site only with the involvement and supervision of a parent or legal guardian. Our Privacy Policy is incorporated by reference and forms part of these Terms.
2. Educational Service Disclaimer (Scope of Services)
BdB Hold B.V. is an independent provider of online professional education serving learners throughout Canada. Our services may include online courses, self-paced programs, virtual workshops, webinars, downloadable learning resources, and learner support related to the educational materials.
All content on the Site is provided exclusively for educational and informational purposes. Nothing on the Site constitutes professional advice. BdB Hold B.V. does not provide holding company services, consulting, financial services, legal services, accounting, investment services, recruitment, employment placement, software development, engineering services, healthcare services, immigration services, or any other regulated professional services.
Participation in educational programs does not guarantee employment, promotions, certifications, business success, or financial outcomes. Learners remain responsible for independently applying acquired knowledge in their own context and for validating suitability within their workplace, industry, and applicable laws.
3. Service Description and Changes
The Site describes our education offerings (for example: Business Administration Fundamentals, Workplace Communication, Leadership Development, Project Management Fundamentals, Productivity & Organization, and the Professional Skills Development Program). Program durations are typical completion windows and may vary by learner pace and scheduled session timing.
We may update, revise, add, or remove content and offerings from time to time. We may also modify or discontinue parts of the Site or any educational materials at any time. Where changes materially affect an existing registration request you have submitted, we will aim to communicate next steps using the contact details you provided.
4. Registration Requests and Communications
The Site may include forms that allow you to request registration details, workshop participation information, or learner support. When you submit a form, you agree that the information you provide is accurate and that you will not submit misleading, unlawful, or harmful content.
We may respond by email or phone. Response time targets published on the Site are estimates and not a guarantee. You understand that electronic communications are not always secure, and you agree that we may communicate with you electronically to handle your inquiry.
5. Acceptable Use
You agree not to use the Site in a way that could damage, disable, overload, or impair the Site or interfere with others’ use. You also agree not to:

The Site and all content and materials on it—including text, curriculum outlines, templates, worksheets, downloadable resources, graphics, design elements, and the BdB Hold B.V. name and branding—are owned by BdB Hold B.V. or its licensors and are protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for personal, non-commercial educational purposes. You may not copy, reproduce, distribute, publicly display, create derivative works from, or exploit any content except as expressly permitted in writing or as allowed by applicable law.
7. Third-Party Services and Links
The Site may reference third-party services used for hosting, security, or communications, and may include links to third-party websites. Third-party sites are not under our control, and we are not responsible for their content, policies, or practices. Your use of third-party services is governed by the terms and privacy policies of those providers.
8. Disclaimer of Warranties

To the maximum extent permitted by applicable law, BdB Hold B.V. disclaims all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Educational content may contain inadvertent errors or omissions; we do not guarantee completeness or that materials will meet your specific requirements.
9. Limitation of Liability
To the maximum extent permitted by applicable law, BdB Hold B.V. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business, data, goodwill, or other intangible losses arising out of or related to your use of (or inability to use) the Site or educational materials.
To the maximum extent permitted by applicable law, BdB Hold B.V.’s total liability for any claim arising out of or related to the Site will be limited to the greater of (a) the amount you paid to BdB Hold B.V. in the 12 months immediately preceding the event giving rise to the claim, or (b) €100.
Nothing in these Terms limits liability that cannot be excluded or limited under applicable law, including liability for intent (opzet) or wilful misconduct, or liability that must remain unlimited under mandatory consumer protection laws.
10. Indemnification
You agree to indemnify and hold harmless BdB Hold B.V., its directors, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Site, (b) your submitted information, (c) your violation of these Terms, or (d) your violation of any law or third-party right.
11. Force Majeure
BdB Hold B.V. will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, acts of war or terrorism, labour disputes, pandemics, government actions, internet outages, cyberattacks, or failures of hosting, cloud, or telecommunications providers.
12. International Use
BdB Hold B.V. operates from the Netherlands and delivers education services online to learners across Canada. We make no representation that the Site is appropriate or legally available in all locations. You are responsible for compliance with local laws that may apply to your access and use.
13. Governing Law and Jurisdiction (Netherlands)
These Terms are governed by and construed in accordance with the laws of the Netherlands, excluding conflict-of-law rules. Any dispute arising out of or related to these Terms or the Site will be submitted to the competent courts in the Netherlands.
If you are a consumer and mandatory consumer protection laws in your country of residence provide you with rights that cannot be waived, those mandatory rights remain unaffected.
14. Dispute Resolution (Informal Process)
Before starting formal proceedings, you agree to contact us with a brief written description of the issue and your requested resolution. We will attempt to address the matter within 30 days. This informal process does not limit either party’s right to seek urgent interim relief when needed.
15. Termination
We may suspend or terminate your access to the Site if we reasonably believe you have violated these Terms or if your use presents a security risk. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and other provisions that by their nature should survive termination will survive.
16. Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
17. Entire Agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and BdB Hold B.V. regarding the Site and supersede any prior or contemporaneous understandings.
18. Assignment
BdB Hold B.V. may assign or transfer these Terms, in whole or in part, including to an affiliate or successor in connection with a merger, acquisition, reorganisation, or sale of assets. You may not assign these Terms without our prior written consent.
19. No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorised representative of BdB Hold B.V.
20. Modifications to These Terms
We may update these Terms from time to time. Changes will become effective 14 days after posting on this page unless a different effective date is stated. Your continued use of the Site after the effective date indicates acceptance of the updated Terms.
21. Electronic Communications
You consent to receiving communications from us electronically, such as by email and by notices posted on the Site. You agree that electronic communications satisfy any legal requirement that such communications be in writing, in accordance with applicable electronic communications laws.
